2/ You also are asked to vote and approve an update to the DHARA Bylaws.
The Board of Directors recommends updating the Bylaws to simplify and clarify the language. Some language in the current Bylaws is repeated in more than one section, in addition to other extraneous language. The current Bylaws use unnecessary “legalisms” like “shall” and “in proper person.” The only substantive change is that the update would allow the Board of Directors to constitute a quorum for a meeting of the Board with some Directors participating by telephone or video conference, consistent with Virginia law. Otherwise, no substantive changes are intended. The Board of Directors requests an up or down vote on the proposed updates.
